Terms of Service

1. Who these terms are between

These terms are an agreement between SiiMii ApS ("SiiMii", "we", "us") — a Danish company registered at Munkesøvej 19, 4000 Roskilde (CVR 46345460) — and the legal entity ("Customer", "you") whose authorised representative created a SiiMii workspace at https://siimiini.siimii.ai.

By creating a workspace or by connecting an advertising, video, or social-platform account to SiiMii you accept these terms.

2. What SiiMii is

SiiMii is a software platform that helps small and mid-sized businesses launch and manage advertising campaigns through an AI-assisted workflow. Where supported and explicitly enabled, SiiMii can also draft or publish organic social content, moderate connected interactions, and prepare or send permitted replies. SiiMii acts as the agency / advertising agent for the Customer when configured to do so.

3. Wallet, billing, and advertising spend

You pre-fund a wallet inside SiiMii via Stripe. SiiMii uses that wallet balance to:

1. Charge you for SiiMii's subscription / managed-service fee as stated on the pricing page.
2. Cover AI usage triggered by your workspace at the rate disclosed in the Billing section.
3. Recover advertising and platform API costs charged through SiiMii under the funding arrangement and rates shown for your workspace.

You authorise SiiMii to debit your wallet for those amounts.

If you have enabled "auto top-up", you authorise SiiMii to charge your saved Stripe payment method whenever the wallet falls below the trigger you set. When funds are insufficient, SiiMii blocks new paid requests and requests pauses for the campaigns it manages. A pause is confirmed only after the provider accepts it; delays or outages can permit further spend. Funding the wallet does not override a manual pause, stale approval, payment review or unresolved provider outcome.

4. Limits, caps, and approvals

You set your own daily and weekly spend caps inside SiiMii. SiiMii will apply those limits to new work and its delivery controls. Provider reporting delays, overdelivery and outages prevent an instantaneous hard-spend guarantee. Use Stop all spend in the workspace toolbar to request a stop. Pending or failed provider pauses remain visible until confirmed; check the provider account when an urgent stop cannot be confirmed.

Advertising actions follow the current approval and spending controls. Social Inbox replies and organic posts require human review and an explicit send or publish action. An AI draft does not send a message. Paid X API operations require their separately displayed maximum-cost consent; AI production uses the workspace's separate production allowance.

5. Your responsibilities

You confirm that:

• You are authorised to bind the legal entity you registered with.
• The advertising content you submit (or that you ask SiiMii to draft) is truthful, lawful, and complies with the published advertising policies of every advertising platform on which it runs (search, social, professional networks, video, audio, and any other) and the law of every market it runs in.
• The trademarks, images, and brand identity you upload to the SiiMii asset library are yours to use.
• The product or service you advertise is permitted in the jurisdictions you target.
• You have the right to connect the business accounts, Pages, profiles, channels, media assets, comments, and message inboxes you ask SiiMii to manage.
• You will not use SiiMii to send spam, harvest personal data, evade messaging windows, impersonate people, or pressure users into unwanted private conversations.

6. Prohibited use

You will not use SiiMii to advertise or operate any of the following. SiiMii's AI agent is configured to refuse to draft creative for these categories, and SiiMii reserves the right to block, pause, or close any workspace that attempts them. The list is calibrated against EU and Danish law and the prohibited-content rules of the major advertising platforms (search engines, social networks, professional networks, short-video platforms, image-sharing platforms, etc.) on which SiiMii operates today or may operate in the future. Any tightening that one of those platforms makes between releases of these terms automatically applies to your use of SiiMii too.

• Counterfeit goods, replicas, or other intellectual-property infringement.
• Illegal drugs, narcotics, or prescription-only medicines without a valid licence in the target jurisdiction; recreational cannabis where local law forbids it.
• Weapons, ammunition, explosives, fireworks, or related accessories where their advertisement is restricted.
• Unlicensed gambling, betting, lotteries, daily-fantasy or skill-prize tournaments operating outside their licensed markets.
• Hate speech, harassment, or content promoting discrimination on the basis of race, ethnicity, national origin, religion, age, sex, sexual orientation, gender identity, disability, or any other protected characteristic; content that demeans, shames, or threatens individuals or groups.
• Unsubstantiated medical or health claims; products promising to treat, cure, or prevent disease without regulatory approval; "miracle" weight-loss promises; before-and-after imagery for cosmetic procedures or body transformations that exploit body-image anxieties.
• Financial scams, "guaranteed" or risk-free investment claims, payday-style consumer loans operating outside their licensed market, pyramid / multi-level-marketing structures, and offers structured to exploit financial distress.
• Cryptocurrency, token, NFT, or other digital-asset offerings, including ICOs, IDOs, airdrops, and related advisory services, except where the advertiser holds the relevant financial-services authorisation in every target market and the ad complies with each platform's specific cryptocurrency / financial-product policy.
• Adult content, escort or sexual services, dating intended primarily for explicit content, and sexually suggestive imagery.
• Tobacco, e-cigarettes, vaping liquids, smokeless tobacco, and related accessories where their advertisement is restricted.
• Online dating services, except where the advertiser meets every target platform's enrolment / verification requirements for that vertical.
• Political organisations, candidates, ballot questions, social-issue advocacy, and election-related content, except where the advertiser is enrolled and disclosed under every target platform's political-advertising authorisation programme. Content covered by a platform's outright ban on political advertising is never permitted.
• Government-issued IDs, official documents, permits, visas, or counterfeit credentials.
• Misleading subscription tactics, dark patterns, hidden recurring charges, or "negative-option" billing.
• Misinformation, debunked or scientifically rejected claims, hoaxes, conspiracy theories, content that undermines public health or election integrity, and AI-generated impersonation of real people without their consent.
• Targeting or referencing a person's sensitive personal characteristics — health condition, race or ethnicity, religion, sexual orientation, gender identity, immigration status, criminal record, mental health, financial distress, age in a discriminatory manner, or membership in a protected group — in a way that excludes, demeans, or stereotypes them.
• Live wildlife, endangered species, or products derived from them; products manufactured through animal cruelty.
• Stolen, hacked, leaked, or otherwise unlawfully obtained content; promotion of services that compromise other systems or accounts.
• Gore, shock content, gratuitous depictions of violence, or explicit imagery of injury, death, or accidents.
• Malware, phishing, credential-harvesting tools, or content that compromises end-user security.
• Tactics that circumvent an advertising platform's review systems — cloaking, hidden landing-page redirects, bait-and-switch destinations, or impersonation of trusted brands and government bodies.
• Anything otherwise illegal under EU law or the law of the target market.

You also will not reverse-engineer SiiMii's code, train a competing AI on it, or attempt to harm SiiMii's infrastructure.

7. Advertising-platform APIs

SiiMii operates by connecting on your behalf to the APIs of the advertising platforms you authorise it to manage. The current supported integrations include Google Ads, Facebook/Instagram and X. Features remain subject to the actual account permissions, provider access and configuration; a connector does not establish approval. By connecting any such account to SiiMii you accept that platform's own terms in addition to ours, including its API services agreement and its developer-data policies. SiiMii's use of any data received from a platform's APIs adheres to that platform's user-data policy and limited-use rules; see our Privacy Policy at /privacy for specifics.

For connected social accounts, SiiMii may only publish organic content, moderate comments, or reply to messages when the relevant account, platform permission, tenant setting, and approval state allow it. You remain responsible for the truthfulness, legality, and suitability of the content and customer communications.

If a platform suspends or changes its API in a way that breaks SiiMii's ability to deliver your campaigns there, we will notify you and either restore service or refund the affected wallet balance, at your choice.

8. Service providers and sub-processors

You agree that SiiMii uses the following providers to deliver the service: Hetzner Online GmbH (hosting), Stripe (payments), Google (advertising, YouTube and Gemini media services), OpenAI (text, images, claims analysis and transcription), and Anthropic (optional planning). Facebook/Instagram and X receive content and account requests when you enable their supported integrations. Provider roles depend on the service; some also act as independent controllers. The current list and their roles are kept up to date in our Privacy Policy at /privacy; we will give you at least 14 days' notice inside SiiMii before activating a new sub-processor.

9. Service level

SiiMii targets 99% monthly availability for the application (https://siimiini.siimii.ai). Scheduled maintenance is announced inside the application at least 24 hours in advance unless the maintenance is to fix a security incident. We do not commit to Google's uptime — that's their responsibility.

If SiiMii is unavailable for more than 4 consecutive hours in a calendar month due to our fault, we will credit you 1/30th of your monthly subscription fee for each such 4-hour block, on request, up to a cap of one full month's subscription fee.

10. Termination

You can close your workspace at any time from Settings → Privacy & data. A workspace owner confirms the request using the emailed verification code. This disables new work and scheduled billing and requests pauses for tracked Google, Meta and X campaigns. Provider confirmation can be delayed or fail; the workspace shows unresolved pauses and retains credentials needed for cleanup.

Closure does not automatically issue a wallet refund. Outstanding balances, payments, provider usage and uncertain deliveries must be reconciled; contact support about any applicable refund. Existing authorized usage may still settle. Permanent removal can start after the 30-day grace period once these blockers are resolved. Cancellation is available before permanent removal begins and does not resume advertising or billing. Required accounting evidence is retained separately with restricted access.

Removing SiiMii data or credentials does not remove every post, message, YouTube video or reusable asset held by a provider. Review those copies and app grants in the relevant provider account.

We may suspend or close a workspace immediately if:

• You materially breach these terms.
• Your wallet shows fraudulent or charged-back top-ups.
• A Google or Stripe enforcement action requires it.
• A regulator orders us to.

We will email you the reason and let you export your data unless forbidden by law.

11. Disclaimers and liability

SiiMii is provided "as is". Performance of advertising campaigns is outside SiiMii's control — advertising and social platforms determine who sees your ads or posts, and SiiMii cannot guarantee specific impression, click, conversion, lead, reply, or ROAS outcomes.

To the maximum extent permitted by law, SiiMii's aggregate liability to you for any cause arising out of or related to these terms is capped at the SiiMii fees you paid us in the 12 months preceding the event giving rise to the claim. We do not exclude or limit liability for fraud, gross negligence, wilful misconduct, or anything else that under Danish law cannot be excluded.

You are solely responsible for the content of the ads, the truthfulness of the claims they make, and any consumer complaints, trademark disputes, or regulatory actions that result.

12. Governing law and jurisdiction

These terms are governed by Danish law. Disputes will be brought before the courts of Copenhagen, Denmark, except that consumers have the rights they cannot waive under the law of their country of residence.

13. Changes

We may update these terms. The effective date at the top is authoritative. Material changes will be announced inside SiiMii at least 14 days before they take effect; if you don't accept them, you can close your workspace and the un-changed terms apply until you do.
